1. Scope

(1) These General Terms and Conditions (GTC) apply to all orders placed via the CremaCycles Distribution online shop, regardless of whether the customer is a consumer (§ 13 BGB) or an entrepreneur (§ 14 BGB).
(2) In addition, the special provisions in Section 12 shall apply to entrepreneurs.
(3) Any differing terms and conditions of the customer shall only apply if they have been expressly confirmed in writing.

2. Contractual partners and contact

3. Offer and conclusion of contract

(1) The presentation of the products in the online shop does not constitute a legally binding offer, but rather an invitation to place an order.
(2) By completing the order process, the customer submits a binding offer.
(3) The contract is only concluded upon our order confirmation or upon delivery of the goods.

4. Prices and Payment Terms

(1) All prices are quoted in euros.

• For consumers : including statutory VAT.
• For entrepreneurs : plus statutory VAT.
  (2) Shipping costs will be shown separately during the order process.
  (3) Payments are due immediately upon conclusion of the contract, unless otherwise agreed.
  (4) In case of late payment, default interest shall apply in the amount of
  – 5 percentage points above the base interest rate for consumers,
  – 9 percentage points above the base interest rate for entrepreneurs.

5. Delivery and Shipping

(1) Deliveries within Germany and the EU will be made to the delivery address specified by the customer.
(2) Delivery times are indicated in the shop.
(3) Partial deliveries are permitted insofar as they are reasonable.
(4) If a product is unavailable, the customer will be informed and any payments made will be refunded.

6. Retention of title

The goods remain our property until full payment is received.
For entrepreneurs, the retention of title applies until all claims arising from the ongoing business relationship have been settled.

7. Right of withdrawal (only for consumers)

Cancellation policy

Right of withdrawal:
You have the right to withdraw from this contract within 14 days without giving any reason .
The cancellation period is 14 days from the day,

• where you or a third party designated by you, who is not the carrier, received the goods,
  or
• In the case of a single order for several goods that are delivered separately, the period begins on the day the last item is received.

To exercise your right of withdrawal, you must inform us

You must inform us of your decision to withdraw from this contract by means of a clear statement (e.g. by email or letter).

You can use the sample cancellation form below, but this is not mandatory.

Consequences of the revocation:
If you cancel this contract, we will reimburse all payments received from you, including delivery costs (excluding any additional costs arising from your choice of a delivery method other than the standard delivery offered), without undue delay and at the latest within 14 days from receipt of your cancellation notice.
For this refund, we will use the same payment method that you used for the original transaction, unless expressly agreed otherwise.
We may refuse to refund your money until we have received the goods back or you have provided proof that you have returned them.

You must return the goods to us immediately, but no later than 14 days from the day of cancellation.
You bear the direct costs of the return shipment.
A loss in value only needs to be compensated if it is due to handling that was not necessary for examining the nature, properties and functioning of the goods.

Exclusion of the right of withdrawal:
The right of withdrawal does not apply to goods that are individually manufactured or modified at the customer's request.

8. Warranty

(1) The statutory warranty for defects applies.
(2) For consumers, the period is 2 years from delivery.
(3) For entrepreneurs, the shortened time limits set out in Section 12 shall apply.

9. Liability

(1) We are liable without limitation in cases of intent and gross negligence.
(2) In cases of slight negligence, liability shall only apply to breaches of essential contractual obligations (cardinal obligations), limited to foreseeable, typical damages.
(3) Liability for lost profits or indirect damages is excluded.
(4) This limitation of liability also applies to our legal representatives and agents.

10. Data protection

Personal data is processed in accordance with our privacy policy .

11. Applicable Law and Jurisdiction

(1) German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) For consumers, this choice of law shall only apply to the extent that they are not deprived of mandatory consumer protection in their country of residence.
(3) The place of jurisdiction for entrepreneurs is Pfronten, Germany .

12. Special regulations for businesses (B2B)

(1) Duty to inspect: The buyer must inspect the goods immediately upon receipt and notify the seller in writing of any recognizable defects within 7 days .
(2) Warranty: The warranty period is 12 months from delivery.
(3) Transfer of risk: The risk passes to the buyer upon handover to the carrier.
(4) Returns: Returns are only accepted with prior approval. A restocking fee of up to 15% of the merchandise value may apply.
(5) Retention of title: Until full payment of all claims arising from the business relationship.
(6) Limitation of liability: No liability for slight negligence outside of essential obligations, indirect damages or lost profits.
